Extract change-of-control clauses from NDAs and draft legal memos
A lawyer runs Claude Code locally on his files to build a script pulling change-of-control clauses from 47 NDAs, and to draft memos and a junior associate guide.
Done withClaude Code
- What they did
- An M&A lawyer ran Claude Code locally on a folder of files, so client documents never left his hard drive. He asked it in plain English to draft a script pulling change-of-control clauses from 47 NDAs into a spreadsheet with deal name, clause text and notes on unusual provisions. For memos, he did the research and saved the cases himself. Claude then drafted the memo from them.
- How it went
- The script took about 12 minutes to draft and 6 more to refine the prompt. In a separate 53-contract review, about 92% of clauses were right on the first pass, and he fixed the rest himself.
- Worth knowing
- Never let it generate citations; he sources cases himself and verifies all output before signing, treating it like a first-year associate's draft.
Try it yourself with Claude Code
I have a folder of [number] contracts at [folder path], such as NDAs. Write and run a script that finds the [clause type, e.g. change-of-control] clause in each one and saves the results to a spreadsheet with columns for file name, clause text, and page or section. Then flag any files where no clause was found or where you are unsure, so I can check them by hand. Work on copies only and do not modify or delete my original files.
